Terms and Conditions

1. Scope

These General Terms and Conditions (GTC) apply to all contracts between Julius Sorgner (hereinafter "Provider") and the Customer for the use of the SaaS service "Proposal Generator".

2. Target Audience and Scope of Application

2.1 This service is exclusively intended for entrepreneurs within the meaning of § 14 BGB (German Civil Code), including business owners, freelancers, and legal entities under public and private law.

2.2 By registering, the Customer confirms that they are using the service exclusively for commercial or independent professional purposes and are not acting as a consumer within the meaning of § 13 BGB.

2.3 Consumers within the meaning of § 13 BGB are excluded from using the service.

3. Subject of Contract

The Provider provides the Customer with web-based software for AI-assisted creation of proposals and offers. Access is provided via the Internet.

4. Registration and Contract Formation

4.1 Use of the service requires registration with a valid email address.

4.2 The contract is concluded upon completion of registration.

4.3 The Customer warrants that all provided information is correct and complete.

4.4 By registering, the Customer confirms that they are acting as an entrepreneur within the meaning of § 14 BGB.

5. Scope of Services

5.1 The scope of services depends on the selected plan (Free, Starter, Pro).

5.2 The Provider aims for an availability of 99% on an annual average.

5.3 The Provider is entitled to further develop and modify the service.

5.4 Certain plans allow the activation of an integrated payment collection feature (Stripe Connect), enabling the Customer to collect payments directly through their proposals. Use of this feature requires connecting a personal Stripe account and is subject to the terms in § 14.

6. Usage Rights and Obligations

6.1 The Customer receives a simple, non-transferable right of use.

6.2 The Customer is obligated to:

  • Keep access credentials confidential
  • Not misuse the service
  • Not create illegal content

6.3 Proposals created with the service remain the property of the Customer.

7. Prices and Payment

7.1 Current prices are available on the website.

7.2 For paid plans, billing occurs monthly or annually in advance.

7.3 Payment is processed through the payment service provider Stripe.

8. Term and Termination

8.1 The contract for free plans runs indefinitely.

8.2 Paid plans have a minimum term corresponding to the selected billing period.

8.3 Termination can be made at any time effective at the end of the current billing period.

8.4 The right to extraordinary termination for important reasons remains unaffected.

9. Liability

9.1 The Provider is liable without limitation for intent and gross negligence.

9.2 In cases of slight negligence, the Provider is only liable for breach of essential contractual obligations.

9.3 Liability is limited in amount to the foreseeable, contract-typical damage.

9.4 The above limitations of liability do not apply to damages to life, body, or health.

10. Data Protection

The processing of personal data is carried out in accordance with our Privacy Policy.

11. AI-Generated Content

11.1 The service uses AI technology to assist in proposal creation.

11.2 The Customer is responsible for reviewing and final approval of all created content.

11.3 The Provider does not guarantee the accuracy, completeness, or suitability of AI-generated content.

11.4 AI-generated content may contain errors. The Customer is obligated to review all content before use.

12.1 The software and all provided features (including AI-generated content, tax calculations, e-invoicing formats, and signature features) serve solely as technical tools and do not replace individual tax, legal, or business advice.

12.2 The Customer is solely responsible for the accuracy of their tax information (VAT rates, small business status, tax numbers) and the compliance of their invoices with applicable legal requirements.

12.3 The Provider expressly recommends consulting a tax advisor or attorney for tax or legal questions.

13. Changes to GTC

13.1 The Provider may change these GTC with reasonable notice.

13.2 Changes will be communicated to the Customer by email.

13.3 If the Customer does not object within 30 days, the changes are deemed accepted.

14. Payment Processing via Stripe Connect

14.1 Proposal Air enables freelancers (Customers within the meaning of these GTC) to activate a payment collection feature on their proposals. Customers connect their own Stripe account to the platform via Stripe Connect (Standard).

14.2 The Provider is not a payment service provider and does not take custody of funds at any time. All payment transactions are processed exclusively between the Customer (freelancer), the end client (proposal recipient), and Stripe, Inc.

14.3 Use of Stripe Connect is additionally subject to Stripe's terms of service, in particular the Stripe Connected Account Agreement. The Customer is obligated to comply with these terms.

14.4 The Provider is not liable for outages, delays, or errors in payment processing by Stripe, Inc. Payment disputes between the Customer and their end clients are to be resolved exclusively between these parties and, where applicable, Stripe.

14.5 The Provider reserves the right to deactivate the payment feature in the event of suspected misuse or violation of Stripe's terms of service.

14.6 The Customer is solely responsible for the tax treatment of payments collected via Stripe Connect, in particular regarding VAT and invoicing towards their end clients.

15. Final Provisions

15.1 The law of the Federal Republic of Germany applies.

15.2 The place of jurisdiction is, to the extent legally permissible, the Provider's place of business.

15.3 Should individual provisions be invalid, the validity of the remaining provisions remains unaffected.
